These Terms of Service and Sale (“Terms”) apply to the use of fluxbatteryhub.com and to products and services purchased directly from Flux Battery Hub through the website, a formal quotation, a pro forma invoice, or an accepted purchase order.
Flux Battery Hub operates this store from its principal business location at Sanyuanli, Baiyun District, Guangzhou, Guangdong Province, China 510000 (“Flux Battery Hub,” “we,” “us,” or “our”).
The store is hosted by Shopify, which provides the ecommerce platform used to offer products and services.
By using the website or placing an order, you agree to these Terms and the policies incorporated into them.
If a signed agreement, accepted quotation, purchase order accepted by us, or order confirmation expressly conflicts with these Terms, the specifically agreed written term controls for that order.
1. Intended Customers and Use
We supply battery research materials, laboratory consumables, components, and selected equipment primarily for legitimate laboratory, educational, industrial research, engineering, and product-development use.
You must be legally capable of entering a contract and authorized to purchase on behalf of any institution or organization named in the order.
Products may not be purchased or used for unlawful purposes, prohibited weapons, unauthorized medical or clinical use, or any application barred by export, sanctions, safety, or local law.
If you purchase as a consumer, mandatory consumer protections that cannot lawfully be excluded remain unaffected.
References to laboratory, business, or institutional use do not remove those mandatory rights.
2. Product Information and Specifications
We aim to provide accurate product descriptions, dimensions, pack quantities, specifications, photographs, and documents.
Minor visual differences may occur because of lighting, display settings, packaging updates, or manufacturing lots.
Measurements and performance values are subject to the tolerances stated on the product page, technical document, quotation, or written confirmation.
Before ordering, the customer must identify any requirement that is critical to fit, compatibility, purity, dimension, thickness, coating, chemistry, grade, packaging, documentation, regulatory status, or intended application.
If a requirement is not shown, ask us to confirm it in writing.
Technical guidance, examples, and application information are provided to assist evaluation and are not a guarantee of a particular experimental result.
Battery performance depends on the complete cell design, process, storage, equipment, and test conditions.
The customer is responsible for validating suitability and safe use in the customer’s application.
3. Technical Documents and Traceability
TDS, SDS, COA, specification sheets, drawings, or lot information are available only where stated on the product page or confirmed in writing for the specific product or lot.
Document availability can differ by product, manufacturer, destination, and order quantity.
We do not claim a certification, regulatory approval, brand equivalence, or third-party qualification unless it is expressly stated and supported by applicable documentation.
If a document is required for purchasing, customs, safety, or laboratory approval, request and review it before placing the order.
4. Quotations, Purchase Orders, and Order Acceptance
Formal quotations and pro forma invoices are available on request.
A quotation is valid for the period stated in that quotation and is based on the specifications, quantity, destination, shipping term, and documents identified in it.
A purchase order is not binding on us until we accept it in writing.
Additional or conflicting customer purchase-order terms do not apply unless we expressly accept them in writing.
An automated order receipt confirms that we received the order; it does not by itself guarantee acceptance.
We may contact the customer to verify specifications, destination, end use, payment, or compliance information.
The order is accepted when we send an order confirmation or begin fulfillment, subject to our right to correct a material error or cancel an order as permitted below.
5. Prices, Payment, and Taxes
Prices are shown in the currency selected on the website or stated in the quotation.
Available payment methods are shown at checkout or on the invoice.
The customer must provide accurate billing and payment information and have authority to use the selected payment method.
Shipping, duties, taxes, bank charges, payment fees, and other costs are included only when expressly shown at checkout or in the accepted quotation.
For international orders, customs and tax responsibility follows the shipping term confirmed for that order.
We may correct a material pricing, quantity, or product-information error before shipment.
If the correction increases the amount due or materially changes the order, we will request customer approval. Otherwise, we may cancel the affected item and refund the amount paid.
6. Shipping, Delivery, Title, and Risk
Processing estimates, delivery estimates, tracking, customs responsibilities, and address requirements are described in our Shipping Policy.
For an order expressly confirmed under an Incoterms® rule, delivery, cost responsibility, title where applicable, and risk are interpreted according to the named rule and place stated in the quotation or order confirmation.
For a DDP order, risk remains with us until the goods are placed at the customer’s disposal at the named destination, cleared for import and ready for unloading, subject to the customer’s obligation to provide legally required recipient information.
For an order without a stated Incoterms® rule, we remain responsible for loss or damage in transit until confirmed delivery to the address provided.
This does not apply to the extent loss or additional cost results from an incorrect address, recipient refusal, unlawful import, failure to provide required information, or another act or omission of the customer.
7. Inspection, Returns, and Remedies
The customer should inspect shipments promptly and report damage, shortage, wrong items, or readily apparent defects preferably immediately and no later than 7 calendar days after delivery.
Returns, cancellations, refund timing, and non-returnable products are governed by our Return and Refund Policy.
If a product is confirmed to be materially non-conforming with the published or expressly agreed specification at the time of dispatch, we will provide a reasonable remedy such as replacement, repair support, store credit, partial refund, or refund.
The appropriate remedy depends on the product, issue, available evidence, cost, and applicable law.
8. Equipment and Product-Specific Warranties
Any product-specific or equipment warranty applies only if it is stated on the product page, quotation, or order confirmation.
Unless a longer written warranty is provided, we warrant that products will materially conform to the published or agreed specification at dispatch and will be free from defects caused by our packing or fulfillment.
A warranty does not cover normal wear, consumable parts, corrosion, contamination, improper storage, incorrect installation, unauthorized repair or modification, misuse, operation outside published limits, incompatibility not confirmed by us, or damage caused by the customer’s process or materials.
Nothing in this section excludes a mandatory warranty or consumer right that cannot lawfully be excluded.
9. Safe Handling and Compliance
Laboratory materials and equipment must be handled by appropriately trained persons using suitable facilities, risk assessments, protective equipment, storage, ventilation, and disposal procedures.
Customers must review available labels, manuals, SDS, and technical information before use and comply with applicable workplace, environmental, transport, import, export, and safety rules.
10. Accounts and Website Use
You are responsible for the accuracy of information submitted through the website and for safeguarding account credentials.
You must not misuse the website, introduce malicious code, scrape or interfere with the service in a manner that impairs operation, attempt unauthorized access, or use website content or product data unlawfully.
We may suspend access or cancel an order where reasonably necessary to protect customers, the website, payment systems, legal compliance, or security.
11. Intellectual Property
The website’s text, graphics, photographs, logos, product organization, and original content are owned by or licensed to us and are protected by applicable intellectual-property law.
You may view and print reasonable portions for legitimate product evaluation and procurement.
No other reproduction, resale, modification, or commercial exploitation is permitted without written authorization.
Third-party trademarks remain the property of their respective owners.
A reference to a compatible size, industry format, or third-party product does not imply endorsement or brand affiliation unless expressly stated.
12. Third-Party Services and Links
The website may use or link to Shopify, payment processors, carriers, analytics services, social platforms, or other third parties.
Their services are governed by their own terms and privacy practices.
We are not responsible for an unrelated third-party website, but this does not limit our responsibility for suppliers or service providers we engage to fulfill our obligations where law provides otherwise.
13. Availability and Changes
We may update products, prices, pack sizes, documentation, and website content.
Changes do not retroactively alter an accepted order unless the customer agrees or the change is necessary to correct an error, comply with law, or protect safety.
We may discontinue a product or limit quantities when stock, sourcing, shipping, or compliance conditions require it.
14. Disclaimer and Limitation of Liability
To the extent permitted by law, we are not liable for an indirect, incidental, special, punitive, or consequential loss, or for lost research time, lost production, lost profit, or loss of data arising from a product or the website, where that loss was not reasonably foreseeable or was caused by factors outside our reasonable control.
To the extent permitted by law, our aggregate liability relating to an affected order will not exceed the amount paid for the affected product.
This limitation does not apply where liability cannot lawfully be limited, including liability arising from fraud, willful misconduct, gross negligence, or death or personal injury caused by negligence where applicable.
Nothing in these Terms limits the customer’s right to receive a remedy for a product that is materially non-conforming or any mandatory right that cannot lawfully be excluded.
15. Indemnity
To the extent permitted by law, a business or institutional customer agrees to be responsible for third-party claims, losses, or costs caused by its unlawful use of a product, material breach of these Terms, unauthorized modification, or failure to follow applicable safety, import, export, or regulatory requirements.
This section does not apply to the extent a claim was caused by our breach, negligence, or willful misconduct.
16. Force Majeure
Neither party is liable for delay or failure caused by events outside its reasonable control, including natural disasters, epidemic restrictions, war, civil disturbance, government action, sanctions changes, customs holds, carrier interruption, labor disruption, utility failure, or supply interruption.
The affected party must make reasonable efforts to reduce the effect and communicate a material delay.
This section does not remove an obligation to refund an amount paid for an order we ultimately cannot supply where a refund is required.
17. Export Controls and Restricted Transactions
Orders are subject to applicable export controls, sanctions, import rules, end-use restrictions, and carrier limitations.
We may request end-user, institution, application, or destination information.
We may refuse or cancel a transaction that we reasonably believe would violate law or create an unacceptable safety or compliance risk.
We will refund amounts paid for unshipped products unless law prevents the refund.
18. Governing Law and Disputes
These Terms and any non-contractual dispute arising from them are governed by the laws of the People’s Republic of China, without regard to conflict-of-law rules.
Subject to any mandatory consumer right to bring a claim elsewhere, the courts with jurisdiction in Guangzhou, Guangdong Province, China have exclusive jurisdiction.
Before filing a claim, the parties should first attempt in good faith to resolve the matter by contacting sales@fluxbatteryhub.com and providing the order number, relevant evidence, and requested resolution.
19. Severability and No Waiver
If a provision is found unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions continue in effect.
A failure to enforce a provision on one occasion is not a waiver of that provision.
20. Changes to These Terms
We may update these Terms to reflect changes to products, services, law, or business practices.
The revised version will be posted with a new “Last updated” date.
The Terms in effect when an order is accepted govern that order unless a change is required by law or agreed by both parties.
